Beware of Scams Connected to the Pennsylvania Annual Reporting Requirements

We have written a handful of articles about the new Pennsylvania Annual Reporting requirements for all entities in Pennsylvania.  This could be a bit confusing, because the Pennsylvania reporting requirements started around the same time as the federal Corporate Transparency Act (CTA) and its beneficial owner registration process.  Most entities do not need to register under the CTA right now.  But the Pennsylvania requirements are still in place.

Watch Out for Scams: Fake Reporting Services

A common issue we’ve seen is misleading emails and mailers offering to complete your annual report filing—for a fee. These communications often look official and can cause confusion. Many people have asked us whether these emails come from the Pennsylvania Department of State.

They do not. These are from private companies offering filing services, often for inflated prices. While some of these companies may follow through, you have no guarantee they will. The only official communication you should receive from the Department of State is a postcard notification outlining your reporting window and requirements.

How to File Your Pennsylvania Annual Report Safely

The State has put out a helpful guide to completing your annual report. Here’s a quick overview of the process:

  1. Log into your Business Hub account.
  2. Search for your business entity.
  3. Click the “File Annual Report” button.
  4. Enter the required information, including:
  •          The name and address of at least one “Governor” (Director, LLC Member, Board Member, Shareholder, etc.)
  •          For corporations (both for-profit and nonprofit), you must also enter the names and addresses of all Officers.

The Department of State charges only $7.00 to process your annual report. You can pay online using a credit card or an existing tax account login.

Avoid Overpaying

We’ve seen emails that appear official but charge $200 to $500 for this same $7 filing. If you want to pay someone to handle the filing for you, make sure they are legitimate and trustworthy. Just know: these emails and websites are not affiliated with the state.
